These terms

These terms are the agreement between Nitro B.V. (“we”) and the business that uses SPOON (“you”). They apply to the SPOON workspace, the SPOON apps on Meta, TikTok and Google, and this website.

SPOON is for businesses only. If you accept these terms for a company, you confirm that you may do so on its behalf. If an order, quote or other signed agreement says something different from these terms, that agreement wins.

What SPOON is

SPOON is a workspace for agencies and hospitality groups that run marketing for venues. It plans social content from the photos and posts a venue already has, drafts captions, sends posts for approval and publishes them, keeps ad accounts in view and makes monthly reports. We keep improving SPOON, so features change over time. If we remove something you rely on, we tell you in advance.

Accounts and users

  • You decide who in your team gets access, and with which role.
  • Each person uses their own account and keeps their sign-in details safe.
  • You are responsible for what happens under your team’s accounts.
  • Tell us straight away at info@nitroamsterdam.nl if you think an account is misused.

Connected accounts

SPOON works with accounts on Meta (Facebook and Instagram), TikTok, Google (Drive and Ads) and Planable. When you connect one, you confirm that you, or the venue you work for, are allowed to give SPOON that access.

You also follow the terms of those platforms, including their advertising policies. They can change their services, limit access or reject an ad or post. We adapt SPOON where we can, but we are not responsible for what those platforms decide or for their outages.

You can disconnect an account at any time; see the data deletion page.

Approvals, publishing and ads

SPOON suggests; your team decides. A post is published only after it has been approved in the workspace and publishing is switched on for that account. Ads change only when someone on your team makes the change.

You are responsible for the content you approve, for having the rights to the photos, videos, music and text in it, including permission from people who are recognisable in them, and for your ad budgets and spend.

Figures in SPOON

Results in SPOON come from the platforms and are shown as they report them. Cost per reservation is the cost per attributed reservation: guests who call, walk in or book later are not in it. Figures help compare a venue with itself over time. They are not a promise of results.

Your content

Your photos, videos, captions, plans, reports and the data from your connected accounts stay yours. You give us permission to store, process and show them only as needed to run SPOON for you. That permission ends when the agreement ends and the data is deleted.

We handle personal data as a processor under a data processing agreement with you, and as set out in the privacy policy. We do not use your content to train models, and we do not use it for other customers.

Using SPOON fairly

SPOON, its software and its design are ours. You may not:

  • resell SPOON or give access to people outside your organisation, unless we agreed that in writing;
  • copy, reverse engineer or scrape SPOON;
  • get around its security, roles or usage limits;
  • use it for content that breaks the law or the rules of the platforms it publishes to.

If you do, we may suspend access after telling you why, or straight away if there is a risk to other customers or to SPOON.

Fees

Fees, invoicing and payment terms are set out in your order or quote. Usage costs for drafts and labels have a monthly cap per workspace, so they cannot run up unnoticed. We announce price changes at least 30 days before they apply.

Availability and support

We work to keep SPOON available and fast, and plan maintenance outside the busiest hours where we can. Unless your order says otherwise, we do not guarantee a specific uptime. We make a full backup every day. For help, email info@nitroamsterdam.nl.

Confidentiality

We both keep the other’s non-public information confidential, use it only for this agreement and share it only with people who need it for that and are bound to the same confidentiality.

Liability

Our total liability under this agreement is limited to the fees you paid us in the 12 months before the event that caused the damage. We are not liable for indirect damage, such as lost profit, lost bookings or ad spend, or for decisions and outages of Meta, TikTok, Google or other platforms.

These limits do not apply to damage caused by our intent or gross negligence.

Ending the agreement

The agreement runs for the period in your order. Either of us can end it as the order describes. We may also end or suspend it if you don’t pay after a reminder, or seriously break these terms.

After the agreement ends you can ask for an export of your data within 30 days. After that we delete the workspace as described in the privacy policy.

Changes to these terms

We may update these terms. We post the new version here and email customers at least 30 days before a change that affects them takes effect. If you don’t agree, you can end the agreement before that date.

Law and disputes

Dutch law applies to these terms. Disputes go to the competent court in Amsterdam, after we have first tried to solve them together.
